The National Stock Exchange of India (NSE) has cleared a major hurdle on its path to becoming a publicly listed company after the Securities and Exchange Board of India (SEBI) issued its final observations for the much-awaited NSE IPO on September 4, 2026. The approval brings the exchange closer to a potential stock-market listing after nearly a decade of regulatory delays.

The proposed NSE IPO is expected to be one of India's largest public offerings, with market estimates putting the issue size at around ₹30,000 crore and the implied valuation above ₹5 lakh crore. The final issue size, pricing and valuation will be determined closer to the launch.

The IPO will be structured entirely as an Offer for Sale (OFS), involving approximately 148.9 million equity shares, or about 6% of NSE's paid-up equity capital. Since it is an OFS, the proceeds will go to existing shareholders selling their stakes rather than to NSE itself.

NSE originally filed its IPO papers in 2016, but its listing plans were delayed by regulatory issues, including the co-location controversy. In January 2026, NSE reached a ₹1,300 crore settlement with SEBI and received the go-ahead to refile its IPO documents.

With SEBI's latest clearance, NSE can now move toward the final stages of its IPO process. Market reports have indicated a possible launch in September, although the exact IPO dates and price band remain subject to official announcements and completion of regulatory procedures.
